全部条款。如您不同意任意条款，请立即停止使用并卸载本软件。
1.1 本软件客户端、官网、商标、界面设计、底层代码、算法、功能逻辑等全部知识产 权，均归济南卿云美荟网络科技有限公司所有。"天章墨青""MochingCode"为合法注 册商标。
1.2 未经我方书面正式授权，任何单位或个人不得对本软件进行复制、修改、二次编译、 反向工程、反编译、破解、二次分发、商用转售。禁止对 AI 模型推理过程进行逆 向分析、权重提取、对抗性攻击或模型蒸馏。
1.3 在您完全遵守本协议前提下，我方授予您非排他、不可转让、不可转借的个人/企业 使用许可。该许可在本协议终止时自动收回。
1.4 本软件为商业收费软件，部分高级功能采用 Credits 积分计费模式。我方保留根据 运营成本、市场情况调整收费及计费规则的权利，变更将随版本更新提前公示。
本软件为 AI 原生桌面开发平台，核心功能（以当前实际版本为准）： （1）AI 对话与代码生成，支持多类 AI 模型自由接入、切换； （2）终端命令执行，支持编译、构建、环境配置、依赖安装等系统操作； （3）文件系统操作：对用户指定目录内文件进行读取、写入、搜索、修改； （4）屏幕感知、截图、键鼠模拟等桌面自动化功能； （5）浏览器自动化：页面导航、截图、表单填写、页面操作等； （6）Office、PDF 等办公文档 AI 智能处理； （7）系统剪贴板读写操作； （8）本地记忆库、知识库，存储对话摘要与自定义知识条目； （9）Skills 第三方扩展技能市场，支持安装、管理第三方扩展； （10）集团多机管理、批量设备运维（面向企业用户）； （11）电商场景 AI 工具集。
我方有权根据业务发展、技术迭代、合规要求，调整、暂停、下线部分或全部服务；重 大服务变更将通过客户端提前通知用户。
3.1 您注册账户时须提供真实、准确、完整的信息；因信息虚假、失效引发的账户异常、 服务中断等后果由您自行承担。
3.2 您需妥善保管账户账号、登录密码、API Key、付费凭证等信息。AI 模型 API Key 为用户自行向第三方服务商申请、独立保管的凭证，我方无任何渠道获取、读取、 存储、传输用户的 API Key。 （a）因用户自身保管不当、主动泄露、或第三方模型服务商漏洞导致账户被盗、密 钥泄露、财产损失，由用户自行承担责任； （b）因我方平台安全漏洞、系统故障直接导致账户或密钥泄露、数据损失，我方将 在本协议第七条第 7.11 款约定的责任限额内依法承担赔偿责任。
3.3 禁止将账户出借、出租、转让、售卖。禁止使用账户从事违法活动。发现账户异常 登录或异常扣费，请第一时间联系官方客服冻结账户。
4.1 禁止行为
您承诺合法合规使用本软件，严禁用于以下行为： （1）从事违反中华人民共和国法律法规、公序良俗的活动（网络攻击、非法入侵、数 据窃取、非法爬虫等）； （2）侵犯他人知识产权、隐私权、名誉权、商业秘密等合法权益； （3）制作、传播病毒、木马、勒索程序、恶意脚本等有害程序； （4）恶意高频调用 API、开展压力测试、恶意刷量、干扰第三方服务正常运行； （5）利用 AI 功能生成、传播色情、暴力、恐怖、仇恨、歧视、违法违规内容； （6）破解、绕过软件安全机制、付费限制、权限管控； （7）未经合法授权操控、管理他人设备、系统、账号； （8）对 AI 模型进行对抗性攻击、诱导越狱、提取训练数据或权重参数； （9）其他一切违法、违规、侵权行为。
4.2 使用责任与能力要求
（1）本软件所有 AI 输出内容（代码、方案、建议、分析等）仅供参考，不构成法律、 医疗、金融、财税等专业正式建议。您使用前必须自主审核内容的正确性、安全 性、合规性。 （2）本软件面向具备基础计算机操作和代码审查能力的用户，非全自动无人值守工具。 （3）您对通过本软件执行的所有手动操作、自动化操作及产生的全部后果承担首要责任。 （4）通过本软件 AI 功能生成的全部内容（代码、文档、方案等），知识产权归使用人 所有，我方不主张任何权利。因 AI 生成内容与第三方作品产生相似性争议或知识 产权纠纷的，由使用人自行处理，我方不承担任何连带或补充赔偿责任。
5.1 您通过本软件创建、编辑、生成、处理的全部内容（含 AI 辅助生成的代码、文档、 数据），知识产权归您本人或所属企业所有，我方不主张任何权属、不做任何保留。
5.2 因 AI 生成内容与第三方作品产生相似性争议或知识产权纠纷的，由用户自行承担 举证与应诉责任，我方不承担任何连带或补充赔偿责任。
6.1 计费标准与公示
（1）计量单位：1 Credit = 1 Token； （2）国内模型、境外模型区分输入/输出分别计价，具体单价、套餐、活动价格统一在 软件客户端【充值中心】页面实时公示； （3）用户自行对接第三方 AI 模型产生的 API 调用费用，由用户直接向模型服务商结 算；Credits 积分仅用于支付本平台服务费用，不包含第三方模型费用。用户与第 三方模型厂商产生的扣费争议、服务纠纷、退费诉求，我方无协调、调解、赔付 义务。
6.2 充值与扣费
（1）充值渠道：客户端内支持微信、支付宝正规渠道充值，充值金额实时到账； （2）扣费规则：每次 AI 调用及高级功能使用，按实际消耗 Token 数量实时扣减 Credits；积分余额不足时对应付费功能自动暂停。
6.3 Credits 有效期
用户充值的 Credits 积分自充值之日起 30 天内有效，到期未使用的积分自动清零、不 予退款、不可延期。平台赠送、活动发放的 Credits 有效期以发放时标注为准，过期自 动清零。赠送积分规则的调整不构成违约，我方无需就赠送积分的过期、回收进行任何 形式的补偿。
6.4 Credits 账户性质
Credits 积分仅限本账户使用，不可转让、赠送、售卖、兑换现金或等价物。任何场外 交易、代充行为产生的纠纷与我方无关。
6.5 退款规则
（1）已充值的 Credits 积分无论是否到期，均不支持无理由退款； （2）因用户违规使用、账号被封禁导致服务终止，账户内剩余 Credits 不予退还； （3）因我方平台故障、服务连续中断超过 72 小时且无法恢复的，经客服核实后可按剩 余比例申请退款。
6.6 价格调整
我方如需调整 Credits 单价或套餐规则，将提前 30 日在客户端弹窗公示。价格调整不 影响用户已充值、未消耗的积分余额。
6.7 平台停运 / 服务下线处置
若我方因业务调整、合规要求永久关停本软件服务： （1）提前 30 天通过客户端弹窗、绑定邮箱发布停运公告； （2）针对用户账户内剩余未使用的已付费 Credits，按剩余等值金额统一办理退款。
7.1 AI 输出免责
本软件基于大语言模型生成内容，模型存在概率性错误、遗漏、逻辑缺陷、安全漏洞。 我方不对 AI 输出内容的准确性、完整性、安全性、商用可用性作出明示或默示担保， 用户务必人工复核后再行使用。
7.2 系统命令与文件操作
本软件具备执行系统命令、读写本地文件的能力。我方在产品设计中已配置多层操作确 认门控与风险提示机制，最大限度降低误操作概率，最终执行决定权始终掌握在用户手 中。
鉴于软件运行环境的高度复杂性（包括但不限于操作系统差异、第三方组件兼容、硬件 状态、网络波动、用户自定义配置等），软件在极端情况下可能出现非预期行为。用户 理解并同意：
（a）使用本软件前应对重要数据进行备份，养成良好的版本管理与容灾习惯； （b）因任何原因（含软件异常、功能缺陷、兼容性问题等）导致的数据丢失、文件损 坏、系统故障、业务中断及由此产生的间接损失、预期利益损失，我方均不承担赔 偿责任； （c）我方将持续投入研发资源优化软件质量与稳定性，对已发现的问题通过版本更新 进行修复，版本修复为我方提供的唯一救济方式； （d）我方不提供数据恢复服务，本地数据的备份、管理由用户自行负责，我方不对本 地数据丢失承担任何责任。
7.3 第三方 AI 服务免责
重要声明：本软件仅提供功能调用通道，不提供、不运营、不托管、不维护任何第三方 AI 大模型及 API 服务。
用户自主对接的第三方 AI 模型、API 服务出现服务中断、延迟、故障、数据泄露、内 容违规等问题，由第三方服务商承担责任。用户选择接入第三方模型、提交数据至第三 方服务器，属于用户自主决策行为。第三方服务的服务质量、数据安全、隐私政策、收 费规则、服务中断、内容合规等全部事宜，均由用户与第三方服务商自行处理，我方不 承担任何直接或连带责任。
7.4 屏幕感知、键鼠自动化免责
该功能属于高敏感自动化能力： （a）使用前请确保屏幕无密码、银行卡、身份证、涉密文档等敏感信息； （b）未经设备所有权人合法授权，禁止使用本功能操控他人设备； （c）因违规使用、用户操作不当引发的账号封禁、数据泄露、法律纠纷，由用户自行 承担责任。
7.5 浏览器自动化、剪贴板操作免责
（a）请勿在网银、支付平台、个人账户、涉密网站使用浏览器自动化功能，由此产生 的账户风险、财产损失由用户承担； （b）执行剪贴板读写前请清空密码、密钥、隐私信息，防范敏感数据泄露。
7.6 第三方技能（Skills）免责
我方不担保第三方扩展技能的安全性、合法性、稳定性。安装、使用第三方技能产生的 病毒入侵、数据窃取、系统故障等风险由用户自行承担。用户可通过官方渠道举报恶意 技能。
7.7 集团多机管理功能免责
企业用户使用批量设备管理功能必须已取得所管理设备的合法所有权与操作授权。因未 经授权管理他人设备引发的法律纠纷、赔偿责任全部由使用方承担。
7.8 第三方平台集成免责
因第三方平台服务中断、规则变更、功能下线、政策调整造成的影响，我方不承担责任。 第三方 AI 模型服务商单方面停服、限流、政策封禁等行为视同不可抗力。
7.9 不可抗力免责
因自然灾害、战争、政策调整、政府监管行为、基础运营商网络故障、大规模网络安全 事件、AI 模型服务商单方面停服等不可抗力事件导致服务中断、数据丢失、功能异常， 我方免于承担责任。
7.10 总体担保说明
本软件按"现状"（AS IS）向用户提供。除国家法律强制规定外，我方不附加其他明示或 默示担保，包括但不限于适销性、特定用途适用性、不侵权的担保。
7.11 责任限额
在法律允许的最大范围内，无论基于何种法律理论（合同、侵权或其他），我方因本协 议或本软件相关事项承担的累计赔偿责任总额，不超过争议事件发生前 3 个月内用户为 使用本软件实际支付给我方的服务费用总额（不含第三方模型费用、赠送积分折算金 额）。该限额不适用于因我方故意行为直接导致人身伤害的情形。
7.12 间接损失排除
在法律允许的最大范围内，我方不对任何间接损失、附带损失、特殊损失、惩罚性赔 偿、预期利润损失、数据损失、商业机会损失、商誉损失承担赔偿责任，无论我方是否 已被告知此类损失发生的可能性。
7.13 用户个人权利主张
用户同意以个人身份就本协议相关争议向我方主张权利，放弃参加任何形式的集体诉讼 或集体仲裁。
本软件使用 Tauri、React、Playwright、Python 等开源组件，各组件受对应开源许可 协议约束。完整开源协议文本、开源声明可在软件内【设置-关于我们-开源声明】入口 查阅，用户需遵守对应开源协议要求。
9.1 协议变更
我方有权根据法规、业务调整修订本用户协议；涉及用户重大权益的变更将提前 15 天 在客户端公示。继续使用软件即视为接受新版协议。
9.2 账号违规分级与处罚
（1）轻度违规：违规调用 API、恶意刷量等，平台将弹窗警告、限制部分功能； （2）中度违规：传播恶意程序、规避付费限制等，暂停账户 7-30 日； （3）严重违规：从事网络违法犯罪、入侵攻击、大规模侵权等，永久封禁账户，剩余 Credits 不予退还，并保留追究法律责任的权利。
9.3 违规申诉
用户对处罚结果有异议，可在收到处罚通知 7 个工作日内通过官方邮箱、客服热线提交 申诉材料。我方在 10 个工作日内完成复核并回复。
9.4 协议终止
（1）用户可随时停止使用、卸载软件，自主终止本协议； （2）协议终止后，免责条款、知识产权条款、责任限额条款、可分割性条款持续有效； （3）我方依据规则封禁、终止用户服务的，协议同步终止。
10.1 本协议的订立、履行、解释及争议解决均适用中华人民共和国现行有效法律。
10.2 双方因本协议产生纠纷，优先通过友好协商解决；协商无法达成一致的，任何一方 均可向山东省济南市天桥区人民法院提起诉讼。
（1）Token / Credits：平台计费计量单位，用于统计 AI 调用量与费用消耗； （2）API Key：第三方 AI 模型的身份密钥，由用户自行保管、管理； （3）SQLite：本地轻型数据库，用于存储对话、配置等本地数据； （4）自动化功能：屏幕操控、键鼠模拟、浏览器操作等批量自动执行工具； （5）Skills：第三方开发者编写的功能扩展，可增强本软件能力； （6）不可抗力：指不能预见、不能避免且不能克服的客观事件。
本协议中任一条款被有管辖权的法院或行政机关认定为无效或不可执行的，不影响其余 条款的效力与可执行性。无效条款应以最接近双方原意且合法有效的表述予以替代。

you confirm that you have fully read, understood, and agreed to all terms of this Agreement. If you disagree with any term, please immediately stop using and uninstall the Software.
1.1 All intellectual property rights in this Software — including the client, website, trademarks, UI design, underlying code, algorithms, and functional logic — belong exclusively to Jinan Qingyun Meihui Network Technology Co., Ltd. "TianZhang MoQing" and "MochingCode" are lawfully registered trademarks.
1.2 Without our written authorization, no entity or individual may copy, modify, recompile, reverse-engineer, decompile, crack, redistribute, or resell this Software. Reverse analysis of AI model inference processes, weight extraction, adversarial attacks, or model distillation are prohibited.
1.3 Subject to your full compliance with this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable personal/enterprise license. This license is automatically revoked upon termination of this Agreement.
1.4 This Software is commercial paid software; certain advanced features use a Credits billing model. We reserve the right to adjust pricing and billing rules based on operational costs and market conditions, with changes announced in advance with version updates.
This Software is an AI-native desktop development platform. Core features (subject to current version): (1) AI conversation and code generation with multi-model access and switching; (2) Terminal command execution for compilation, builds, environment configuration, and dependency installation; (3) File system operations: read, write, search, and modify files within user-designated directories; (4) Screen perception, screenshots, and keyboard/mouse simulation for desktop automation; (5) Browser automation: page navigation, screenshots, form filling, etc.; (6) AI-powered Office and PDF document processing; (7) System clipboard read/write operations; (8) Local memory and knowledge base for conversation summaries and custom knowledge entries; (9) Skills third-party extension marketplace; (10) Enterprise multi-device management and batch operations; (11) E-commerce AI tool suite.
We reserve the right to adjust, suspend, or discontinue some or all services based on business development, technology evolution, or compliance requirements. Major service changes will be communicated via in-app notifications.
3.1 You must provide truthful, accurate, and complete information when registering. Consequences arising from false or invalid information are your sole responsibility.
3.2 You must safeguard your account credentials, login password, API Keys, and payment vouchers. AI model API Keys are credentials you independently apply for and manage with third-party service providers; we have no channel whatsoever to obtain, read, store, or transmit any user API Keys. (a) Losses caused by your own negligence or voluntary disclosure (account theft, key leakage, financial loss), or by third-party model provider vulnerabilities, are your sole responsibility; (b) Where our platform security vulnerabilities or system failures directly cause account/key leakage or data loss, we will bear liability within the limits specified in Section 7.11.
3.3 Account lending, renting, transferring, or selling is prohibited. Illegal use of accounts is prohibited. Report abnormal logins or charges to customer service immediately.
4.1 Prohibited Activities
You agree to use this Software lawfully and are strictly prohibited from: (1) Activities violating PRC laws (cyberattacks, unauthorized access, data theft, illegal crawling, etc.); (2) Infringing others' intellectual property, privacy, reputation, or trade secrets; (3) Creating or distributing viruses, trojans, ransomware, or malicious scripts; (4) Malicious high-frequency API calls, stress testing, fraudulent usage, or interfering with third-party services; (5) Using AI to generate or distribute pornographic, violent, terrorist, hateful, discriminatory, or illegal content; (6) Circumventing security mechanisms, payment restrictions, or access controls; (7) Controlling or managing others' devices, systems, or accounts without lawful authorization; (8) Adversarial attacks on AI models, jailbreak attempts, or extracting training data or weight parameters; (9) Any other illegal, non-compliant, or infringing activities.
4.2 Usage Responsibility and Competency Requirements
(1) All AI outputs (code, solutions, suggestions, analyses) are for reference only and do not constitute professional legal, medical, financial, or tax advice. You must independently verify correctness, security, and compliance. (2) This Software is designed for users with basic computer operation and code review capabilities; it is not a fully automated unattended tool. (3) You bear primary responsibility for all manual and automated operations performed through this Software and their consequences. (4) All content generated through this Software's AI features (code, documents, solutions, etc.) — intellectual property belongs to the user. We do not claim any rights. Any similarity disputes or IP claims arising from AI- generated content with third-party works shall be handled by the user alone; we bear no joint or supplementary liability.
5.1 All content you create, edit, generate, or process through this Software (including AI-assisted code, documents, and data) — intellectual property belongs to you or your enterprise. We claim no ownership and make no reservations.
5.2 Any similarity disputes or intellectual property claims between AI-generated content and third-party works are the user's sole responsibility for evidence and defense; we bear no joint or supplementary liability.
6.1 Billing Standards and Disclosure
(1) Unit: 1 Credit = 1 Token; (2) Domestic and overseas models are priced separately for input/output; exact pricing, packages, and promotions are displayed in real-time on the in-app [Top-Up Center] page; (3) API fees for third-party AI models you independently connect are settled directly with the model provider; Credits are used solely for platform service fees, excluding third-party model costs. Any billing disputes, service disagreements, or refund claims between you and third-party model providers are matters solely between those parties; we have no obligation to mediate, coordinate, or compensate.
6.2 Top-Up and Deduction
(1) Top-up via WeChat Pay, Alipay through in-app channels; funds arrive instantly; (2) Each AI call and premium feature use deducts Credits in real-time based on actual Token consumption; paid features pause when balance is insufficient.
6.3 Credits Validity
Purchased Credits are valid for 30 calendar days from the date of purchase. Expired unused Credits are automatically cleared, non-refundable, and non-extendable. Promotional or gifted Credits validity is as specified at the time of issuance; expired gifted Credits are automatically cleared. Adjustments to gifted Credits rules do not constitute breach of contract, and we are not obligated to provide any form of compensation for expired or reclaimed gifted Credits.
6.4 Credits Account Nature
Credits are non-transferable, non-giftable, non-sellable, and non-redeemable for cash or equivalent. Any off-platform transactions or proxy top-ups are prohibited; disputes arising therefrom bear no relation to us.
6.5 Refund Policy
(1) Purchased Credits, whether expired or not, do not support unconditional refunds; (2) If service is terminated due to user violations or account ban, remaining Credits will not be refunded; (3) If our platform experiences failures causing continuous service interruption exceeding 72 hours with no recovery, refunds may be requested proportionally upon customer service verification.
6.6 Price Adjustments
Price or package changes will be announced via in-app pop-up at least 30 days in advance. Price adjustments do not affect existing purchased, unconsumed Credits.
6.7 Platform Shutdown / Service Discontinuation
If we permanently discontinue this Software due to business or compliance requirements: (1) Shutdown notice will be issued via in-app pop-up and registered email at least 30 days in advance; (2) Remaining unused paid Credits in user accounts will be refunded at equivalent value.
7. Disclaimer (Core Terms)
7.1 AI Output Disclaimer
This Software generates content based on large language models, which may contain probabilistic errors, omissions, logical flaws, or security vulnerabilities. We make no express or implied warranty regarding the accuracy, completeness, security, or commercial viability of AI outputs. Users must verify through human review before use.
7.2 System Commands and File Operations
This Software has the capability to execute system commands and read/write local files. We have configured multi-layer operation confirmation gates and risk notification mechanisms in product design to minimize the probability of accidental operations. The final execution decision always rests with the user.
Given the high complexity of software runtime environments (including but not limited to OS differences, third-party component compatibility, hardware status, network fluctuations, user custom configurations, etc.), the Software may exhibit unexpected behavior in extreme circumstances. Users understand and agree:
(a) Important data should be backed up before using this Software; maintain good version control and disaster recovery practices; (b) For any reason (including software anomalies, feature defects, compatibility issues, etc.) causing data loss, file corruption, system failure, business interruption, and resulting indirect losses or anticipated profit losses, we bear no liability for compensation; (c) We will continuously invest R&D resources to optimize software quality and stability; fixes for discovered issues will be delivered through version updates, which constitutes our sole remedy; (d) We do not provide data recovery services. Users are solely responsible for local data backup and management; we bear no liability for local data loss under any circumstances.
7.3 Third-Party AI Services Disclaimer
IMPORTANT: This Software serves solely as a functional invocation channel. We do not provide, operate, host, or maintain any third-party AI large models or API services.
For third-party AI models and API services independently connected by users, service interruptions, delays, failures, data leaks, or content violations are the responsibility of the third-party provider. Users' decisions to connect third-party models and submit data to third-party servers are entirely self-directed actions. We bear no direct or joint liability for any matters related to third-party services, including but not limited to service quality, data security, privacy policies, billing rules, or content compliance.
7.4 Screen Perception and Keyboard/Mouse Automation Disclaimer
This feature represents high-sensitivity automation capability: (a) Ensure no passwords, bank cards, ID numbers, or classified documents are visible on screen before use; (b) Using this feature to control others' devices without lawful authorization is prohibited; (c) Account bans, data leaks, or legal disputes caused by misuse or improper operation are the user's sole responsibility.
7.5 Browser Automation and Clipboard Disclaimer
(a) Do not use browser automation on banking, payment, personal account, or classified websites; resulting account risks or financial losses are the user's responsibility; (b) Clear passwords, keys, and private information from clipboard before authorizing clipboard operations.
7.6 Third-Party Skills Disclaimer
We make no warranty regarding the security, legality, or stability of third-party extension skills. Virus infections, data theft, system failures, or other risks from installing/using third-party skills are borne entirely by the user. Malicious skills may be reported through official channels.
7.7 Enterprise Multi-Device Management Disclaimer
Enterprise users must have obtained lawful ownership and operational authorization for all managed devices. Legal disputes or liabilities arising from unauthorized management of others' devices are entirely borne by the user.
7.8 Third-Party Platform Integration Disclaimer
We bear no responsibility for impacts caused by third-party platform service interruptions, rule changes, feature removals, or policy adjustments. Unilateral service suspension, rate limiting, or policy bans by third-party AI model providers are treated as force majeure.
7.9 Force Majeure Disclaimer
Service interruptions, data loss, or functional anomalies caused by natural disasters, war, policy changes, government regulatory actions, infrastructure operator network failures, large-scale cybersecurity events, or unilateral third-party AI provider shutdowns are exempt from our liability.
7.10 General Warranty Statement
This Software is provided "AS IS." Except as mandated by national law, we make no additional express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.11 Liability Cap
To the maximum extent permitted by law, regardless of legal theory (contract, tort, or otherwise), our cumulative liability arising from or related to this Agreement or this Software shall not exceed the total service fees actually paid by the user to us in the 3 months preceding the dispute event (excluding third-party model fees and gifted Credits equivalent). This cap does not apply to personal injury directly caused by our intentional acts.
7.12 Exclusion of Indirect Damages
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages, nor for loss of anticipated profits, data, business opportunities, or goodwill, regardless of whether we have been advised of the possibility of such losses.
7.13 Individual Rights Assertion
Users agree to assert rights related to this Agreement in individual capacity only, waiving participation in any form of class action or collective arbitration.
8. Third-Party Components and Open-Source Licenses
This Software uses open-source components including Tauri, React, Playwright, and Python, each governed by their respective open-source licenses. Full license texts and open-source notices are viewable in [Settings - About - Open Source Notices]. Users must comply with applicable open-source license requirements.
9. Agreement Modifications, Account Penalties, and Termination
9.1 Agreement Modifications
We reserve the right to revise this Agreement based on regulatory or business changes. Changes materially affecting user rights will be announced in-app at least 15 days in advance. Continued use constitutes acceptance of the new terms.
9.2 Violation Classification and Penalties
(1) Minor: Unauthorized API calls, fraudulent usage — warning pop-up and partial feature restriction; (2) Moderate: Distributing malicious programs, circumventing payment limits — account suspension for 7-30 days; (3) Severe: Cybercrime, intrusion attacks, large-scale infringement — permanent ban, remaining Credits forfeited, legal action reserved.
9.3 Violation Appeals
Users who disagree with penalties may submit appeal materials via official email or hotline within 7 business days of receiving the penalty notice. We will complete review and respond within 10 business days.
9.4 Termination
(1) Users may terminate this Agreement at any time by ceasing use and uninstalling; (2) Disclaimer, IP, liability cap, and severability clauses survive termination; (3) Agreement terminates simultaneously when we ban or terminate user services pursuant to these rules.
10.1 This Agreement is governed by the current effective laws of the People's Republic of China.
10.2 Disputes shall first be resolved through friendly negotiation; failing that, either party may file suit with the Tianqiao District People's Court, Jinan, Shandong Province.
(1) Token / Credits: Platform billing units measuring AI usage and consumption; (2) API Key: Identity key for third-party AI models, managed by the user; (3) SQLite: Lightweight local database for storing conversations, configurations; (4) Automation Features: Screen control, keyboard/mouse simulation, browser operations, and other batch execution tools; (5) Skills: Functional extensions written by third-party developers to enhance Software capabilities; (6) Force Majeure: Unforeseeable, unavoidable, and insurmountable objective events.
If any provision of this Agreement is found invalid or unenforceable by a court or administrative authority of competent jurisdiction, the remaining provisions remain in full force and effect. Invalid provisions shall be replaced with the closest lawful expression of the parties' original intent.
